Terms of Service

Acceptance of terms

By creating an account or using Prysm, you agree to these terms. If you're using Prysm on behalf of an organization, you're confirming you have authority to bind that organization — and 'you' means that organization throughout.

If you don't agree, don't use the service. We'll always show you material changes before they take effect; continuing to use Prysm after that means you accept them.

Accounts

You need an account to use the product. Keep your credentials — and any API keys you mint — confidential. You're responsible for activity under your account, including actions taken by people and automations you've authorized.

You must be at least 18 years old and able to form a binding contract. Provide accurate information when you sign up; a workspace named after a company you don't represent is a fast route to suspension.

Acceptable use

Prysm gives you real compute: sandboxed scripts, scheduled syncs, public endpoints, and an AI teammate. Use it for work, not for mischief.

• Don't probe, scan, or attack the service or other workspaces — including trying to escape the script sandbox or reach blocked network ranges.
• Don't use Prysm to store, process, or distribute anything illegal, infringing, or harmful — including malware and data you have no right to hold.
• Don't resell the service, share seats between people, or circumvent per-seat billing or usage limits.
• Don't misrepresent Prysm output — Juno's answers included — as anything other than what it is.

Per-seat billing

Paid plans are billed per seat, per billing period, in advance. A seat is one named human; automations, triggers, and Juno don't need seats — they act under a real user's authority and audit identity.

Trials convert to paid plans only if you add payment details — we don't do surprise auto-conversion. If payment fails, we'll retry and warn you before suspending anything. Refunds are handled case by case; annual plans can be refunded pro-rata within the first 60 days.

You can change seats or cancel anytime. Cancellation takes effect at the end of the current period; we don't offer credits for partial periods except where required by law.

Intellectual property

Your content is yours. Spreadsheets, scripts, docs, connections, and the data behind them belong to you. We claim no license beyond what's needed to run the service — storing it, executing your scripts, syncing your connections, and showing it back to you.

Prysm itself — the product, the formula engine, the design, our marks — belongs to us. These terms don't grant you any rights to it except using the service as intended.

Feedback is welcome and free: if you suggest something and we build it, you don't get a royalty — but you do get our genuine thanks, and probably early access.

Limitation of liability

We work hard to keep Prysm reliable and your data safe — the audit log exists precisely so nothing happens in the dark. But the service is provided 'as is,' and to the maximum extent permitted by law we disclaim implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

We are not liable for indirect, incidental, or consequential damages — lost profits, lost data caused by your own configurations, or decisions made on the output of scripts or AI features you ran. Juno's actions are executed under your workspace's permissions and approvals; treat its proposals the way you'd treat a capable junior teammate's.

Our total liability for any claim is capped at the amount you paid us in the 12 months before the event giving rise to the claim. Some jurisdictions don't allow these caps, in which case the minimum limitation permitted applies.

Termination

You can leave anytime — cancel in settings and export everything first; the export tools are built in because leaving should be easy.

We may suspend or terminate accounts that violate these terms, with notice where practicable. For serious abuse — attacks on the service, illegal content — we may act immediately and explain after.

After termination we delete workspace content per the retention schedule in our privacy policy. Audit logs survive a little longer, again as described there.

Governing law

These terms are governed by the laws of the State of Delaware, USA, without regard to conflict-of-law rules. Any dispute will be heard in the state or federal courts located in Delaware, and you consent to their jurisdiction — except where mandatory local law gives you a different forum.

If any provision here is unenforceable, the rest stands. Our failure to enforce a provision isn't a waiver of it.
